Addy AI NDA and Confidentiality Agreement

These Terms of Service and Confidentiality Agreement (“Terms”) govern access to and use of the Addy AI platform and services (“Platform”) provided by Addy AI, Inc. (“Addy AI”, “we”, “us”, or “our”).
By accessing, using, or creating an account on the Platform, you (“Customer”, “User”, or “Client”) agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the Platform.
1. Protection of Addy AI Intellectual Property
1.1 Ownership of Technology
The Platform and all technology associated with the Platform are the exclusive property of Addy AI, Inc.
This includes but is not limited to:
software
artificial intelligence models
machine learning systems
prompts and prompt engineering
document intelligence systems
mortgage underwriting logic
automation workflows
system architecture
user interface designs
algorithms
data structures
source code
training methodologies
product features
operational methods
documentation
Collectively, these are referred to as the “Addy AI Technology.”
All rights, title, and interest in the Addy AI Technology remain solely with Addy AI.
No rights are granted to users other than a limited license to access the Platform in accordance with these Terms.
2. Limited License to Use the Platform
Addy AI grants users a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform solely for legitimate internal business purposes related to mortgage lending operations.
This license does not grant any ownership or intellectual property rights in the Platform.
Addy AI may suspend or revoke access at any time for violations of these Terms.
3. Prohibited Uses
Users may not, and may not permit any third party to:
3.1 Reverse Engineer the Platform
reverse engineer
decompile
disassemble
inspect
analyze
or attempt to discover the underlying code, models, prompts, algorithms, or architecture of the Platform
3.2 Replicate or Rebuild the System
copy platform functionality
replicate workflows or automation logic
recreate system architecture
reproduce product features
build similar document analysis systems
3.3 Develop Competing Products
Users may not use the Platform, outputs, insights, or observations from the Platform to:
build competing software
build mortgage automation platforms
build AI underwriting systems
build loan processing automation tools
develop document intelligence systems
create competing products or services
3.4 Train Artificial Intelligence Systems
Users may not use Platform outputs or responses to:
train machine learning systems
fine tune AI models
develop large language models
improve competing AI systems
3.5 Extract or Scrape Data
Users may not:
scrape the Platform
automate extraction of outputs
perform systematic prompt harvesting
attempt to replicate system behavior through repeated querying
3.6 Benchmarking for Competitive Purposes
Users may not analyze, benchmark, or test the Platform for the purpose of building competing technologies.
4. Protection of Workflows and Methods
The Platform incorporates proprietary mortgage lending automation workflows including but not limited to:
AI underwriting review processes
mortgage document classification methods
automated loan condition generation
guideline interpretation logic
borrower document analysis workflows
processing checklist automation
income calculation logic
These methods constitute confidential trade secrets of Addy AI.
Users may not replicate, reproduce, or implement these methods in any internal or external software system.
5. Confidential Information
Confidential Information includes any non-public information related to:
the Platform
Addy AI Technology
system architecture
AI models
prompts or workflows
pricing
technical documentation
internal processes
product roadmaps
Users must keep all Confidential Information strictly confidential and may not disclose such information to third parties without written permission.
6. Customer Data
Customer loan data processed through the Platform remains the property of the Customer.
Addy AI processes this data solely for the purpose of providing services.
Addy AI may use aggregated and anonymized system data to improve system performance and reliability.
7. AI Output Disclaimer
The Platform provides AI-generated analysis and recommendations.
All final underwriting, processing, or lending decisions remain the sole responsibility of the Customer and its licensed personnel.
Addy AI does not guarantee accuracy of AI outputs.
8. Security
Addy AI maintains industry standard administrative, technical, and physical safeguards designed to protect customer data.
Users are responsible for maintaining the confidentiality of their login credentials.
9. Limitation of Liability
To the maximum extent permitted by law, Addy AI shall not be liable for:
lending decisions
loan approvals or denials
underwriting outcomes
financial losses
regulatory actions
Total liability shall not exceed the total fees paid by the customer in the previous twelve months.
10. Injunctive Relief
Unauthorized use of the Platform or Addy AI Technology may cause irreparable harm to Addy AI.
Addy AI reserves the right to seek:
injunctive relief
equitable relief
court orders preventing misuse
in addition to any other remedies available under law.
11. Suspension or Termination
Addy AI may suspend or terminate access to the Platform if a user:
violates these Terms
attempts to reverse engineer the Platform
attempts to develop competing technology
misuses the system
Termination may occur without prior notice in cases of serious violations.
12. Governing Law
These Terms are governed by the laws of the State of California.
13. Dispute Resolution
Any disputes arising under these Terms shall first be addressed through good faith negotiation.
If unresolved, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association.
14. Changes to Terms
Addy AI may update these Terms at any time.
Continued use of the Platform after changes constitutes acceptance of the updated Terms.
